Terms of Service

1. Agreement

These Terms of Service ("Terms") govern access to and use of the VideoEV platform, including the Vehicle Media Network (VMN), the advertiser dashboard at data.videoev.com, the PredictBid bid intelligence tool, and all associated APIs (collectively, the "Platform"), operated by VideoEV Inc. ("VideoEV," "we," "us").

By accessing or using the Platform, you agree to be bound by these Terms. If you are acting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. Platform Access

Subject to these Terms and any applicable insertion order or partner agreement, VideoEV grants you a limited, non-exclusive, non-transferable right to access and use the Platform for your internal business purposes.

You agree not to:

  • Reverse-engineer, decompile, or attempt to extract source code from any part of the Platform
  • Resell, sublicense, or otherwise make the Platform available to third parties without our written consent
  • Use the Platform to serve advertising that violates applicable law, our content policies, or the IAB/TAG Brand Safety standards
  • Circumvent any technical measures used to protect the Platform or its data
  • Submit false, misleading, or fraudulent campaign data

3. Advertiser Obligations

Advertisers using the VMN agree that:

  • All creative assets submitted comply with the IAB Standard Ad Unit Portfolio and VideoEV's creative specifications
  • Campaigns do not contain malware, phishing content, or deceptive advertising
  • Targeting parameters are used lawfully and in accordance with applicable privacy regulations (GDPR, CCPA)
  • Click-through destinations are functional, safe, and accurately represent the advertised product or service
  • They hold all necessary rights and licenses for creative content submitted to the Platform

4. CPO Partner Obligations

Charging Point Operator (CPO) partners integrating VideoEV into their network agree that:

  • OCPP session data forwarded to VideoEV is transmitted in accordance with applicable data protection laws
  • Drivers at partner stations are informed of video advertising delivery as part of the charging session experience, consistent with the CPO's own privacy notice
  • Station hardware meets VideoEV's technical integration requirements
  • Partners will execute a Data Processing Agreement (DPA) prior to live integration

5. Fees and Payment

Advertising inventory is purchased on a CPM (cost per thousand impressions) basis. Fees are set per insertion order or through the self-serve campaign interface. Payment terms are net-30 from invoice date unless otherwise agreed in writing. VideoEV reserves the right to suspend campaigns where payment is overdue.

CPO partners receive revenue share as defined in their individual partner agreements. Revenue share calculations are based on verified impression counts from VideoEV's ad server logs.

6. Intellectual Property

VideoEV retains all right, title, and interest in the Platform, including the Vehicle Identity Graph, PredictBid models, and all software and documentation. Nothing in these Terms transfers any intellectual property rights to you.

You retain ownership of your creative assets and campaign data. You grant VideoEV a limited license to use, store, and process your creative assets solely to deliver your campaigns.

7. Data and Privacy

VideoEV's collection and use of data in connection with the Platform is governed by our Privacy Policy. Advertisers and CPO partners are responsible for their own compliance with applicable data protection laws in relation to data they independently collect.

Where VideoEV processes personal data on behalf of a CPO partner, a Data Processing Agreement is required. Contact legal@videoev.com to request the standard DPA.

8. Brand Safety and Content Standards

VideoEV follows the TAG (Trustworthy Accountability Group) Brand Safety standards. We reserve the right to reject or remove any creative that:

  • Contains adult, violent, hateful, or illegal content
  • Promotes tobacco, firearms, or controlled substances (where prohibited)
  • Is deceptive, misleading, or constitutes unfair advertising under applicable law
  • Has been flagged by our malware or invalid traffic detection systems

Rejected creative will be communicated with a reason. Advertisers may resubmit corrected creative at no additional charge.

9. Prohibited Traffic

VideoEV uses industry-standard invalid traffic (IVT) detection. Impressions identified as fraudulent, bot-generated, or otherwise invalid will be excluded from billing. We participate in the IAB Tech Lab IVT transparency programme and provide monthly IVT reports upon request.

10. Limitation of Liability

To the maximum extent permitted by applicable law, VideoEV's total liability arising from or related to these Terms or the Platform will not exceed the greater of (a) the amount you paid VideoEV in the 12 months preceding the claim, or (b) USD $1,000.

VideoEV is not liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits or revenue, even if advised of the possibility of such damages.

11. Indemnification

You agree to defend, indemnify, and hold VideoEV harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your creative assets, your violation of these Terms, or your violation of any third-party rights.

12. Term and Termination

These Terms remain in effect while you use the Platform. Either party may terminate for convenience with 30 days' written notice. VideoEV may suspend or terminate access immediately for material breach, non-payment, or conduct that poses a risk to the Platform or other users.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any dispute not resolved by negotiation will be submitted to binding arbitration under the JAMS rules, conducted in English, with proceedings in New York, NY.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to registered account holders by email at least 30 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
